Matroska is the container that will hold anything — any codec, any number of audio tracks, subtitles, chapters — which is exactly why it is popular and exactly why so little consumer hardware supports it. A .mkv that plays perfectly in a desktop media player is frequently invisible to a TV, a phone or an editing timeline.
MP4 is the narrower container and the more accepted one. Converting means the picture and the primary soundtrack come across as H.264 and AAC, which is the pair nothing refuses.
What does not come across is everything MKV was chosen for in the first place. Alternate audio tracks, subtitle tracks and chapters are not carried over — the primary video and audio are what an MP4 gets. If those extras matter, MKV is the file to keep.

Questions
Will my subtitles come across?
No. Subtitle tracks are not carried into the MP4, nor are chapters or alternate audio tracks. Keep the MKV if you need them.
Why will my TV not play MKV?
Consumer hardware tends to support MP4 and little else. Matroska is flexible enough that supporting it properly is hard.
Does converting lose quality?
The picture is re-encoded as H.264, so there is one lossy pass. At high quality it is difficult to see.
